The following terms, conditions, and policies apply to all d12 clients.

Finances and Billing

  • d12 invoices customers through PayPal. d12 does not require clients to maintain a PayPal account. d12 does not accept payments in cash, by check, via ACH, or via credit or debit cards.
  • Invoices are mailed in pdf format once a month.
  • For those services which require a deposit, work will not commence until the deposit is received.

  • d12 reserves the right to change prices at any time without notice.
  • Set-up fees, if applicable, are non-refundable.

Termination

  • d12 reserves the right to suspend or cancel an account at any time, without notice, for any reason. In such a case, clients will be entitled to a pro rata refund based on the remaining contract period, minus any administration fees.
  • d12 reserves the right to suspend or cancel an account without notice and without refund if it deems in its sole discretion that the client has failed to comply with any of these terms, conditions, or policies.

Contact Information

  • Clients are required to keep their contact details up to date, and are required to include at least one email address whcih is not hosted by d12.
  • d12 is not responsible for any problems caused by out of date or inaccessible contact information.

Warranties and Limited Liabilities

  • d12 services and products are provided "as is" and any client's use of these services is at their sole risk. d12 hereby disclaims any and all warranties, whether expressed or implied, including, but not limited to, the implied warranties of merchantability or fitness for a particular purpose.
  • In no event shall d12 be liable for any direct, indirect, incidental, special, exemplary, or consequential damages, including, but not limited to, loss of data, non-delivery or incorrect delivery of service, service interruptions, and data security.

Lawfulness

  • Clients may not use any d12 service or product for any purpose which violates international law or any of the laws of the United States of America, The European Union, Canada, Mexico, the state of Texas, the state of Michigan, the province of Ontario, the province of British Columbia, or the client's locality.

Indemnification

  • The client agrees taht it shall defend, indemnify, save, and hold harmless d12 Web Design and Development, its agents, customers, officers, and employees, from any and all demands, liabilities, losses, cost, and claims (including attorney fees) that may arise or result from:
  1. Any service provided or performed or agreed to be performed by a customer.
  2. Any product sold or otherwise distributed by a customer.
  3. Any material supplied by the client in violation or allegedly in violation of any third-party intellectual property rights, including, but not limited to, libel, slander, misrepresentation, and false advertising.
  4. Inaccuracy of any information provided by the client, including, but not limited to, libel, slander, misrepresentation, and false advertising.
  5. Any client's use of d12 services or products in an unlawful manner, or in a manner which is in violation of any of the terms, conditions, and policies of d12 Web Design and Development.
  • d12 is not responsible for any use clients make of our services. In addition, clients agree to indemnify d12 against any of the effects of their use or misuse of d12 products or services, or claims resulting from that use or misuse.
  • d12 takes reasonable measures to attempt to maintain our products and services, but clients are not eligible for any compensation because of the loss or unavailability of any service or product.
  • d12 shall not be held resonsible for any loss however caused resulting from any suspension or unavailibility of any service.
  • d12 reserves the right to revise its policies without notice at any time.
  • If any portion of these terms, conditions, and policies are held to be invalid or unenforceable, this shall not affect the validity or enforceability of any other part of these terms, conditions, and policies.
