Intellectual Property Agreement

The following terms, conditions, and policies apply to all d12 clients.

  • d12 Web Design and Development provides custom code to its clients. This includes, but is not limited to, HTML, CSS, JavaScript, jQuery, WordPress themes, WordPress child themes, WordPress plugins, PHP, and MySQL.
  • Clients contracting for development of custom code are contracting for licensing of said code, not ownership.
  • All such custom code is and shall remain the intellectual property of d12 Web Design and Development, unless a separate contract providing for the transfer of intellectual property rights is agreed to. Clients agree that the transfer of intellectual property rights does not occur until payment has been received by d12 Web Design and Development and has cleared.
  • d12 Web Design and Development maintains the copyright on all its intellectual property.
  • d12 Web Design and Development reserves the right to resue code from one client for other clients.
  • Clients agree not to share, reuse, remix, resell, or otherwise distribute such code.

Identifying d12 Intellectual Property

  • Any CSS classes and IDs will be prefixed with "d12-" or "d12_" unless such classes or IDs already exist. In such a case, alternate names for these classes and IDs will be used and documented in a comment in the relevant stylesheet or stylesheets.
  • Any JavaScript or jQuery variables or classes will be prefixed with "d12-" or "d12_" unless such variables or classes already exist. In such a case, alternate names for these variables and classes will be used and documented in a comment.
  • Any PHP variables or classes will be prefixed with "d12-" or "d12_" unless such variables or classes already exist. In such a case, alternate names for these variables and classes will be used and documented in a comment.
